CHAPTER RULES & REGULATIONS

ARTICLE I – MISSION AND PURPOSE

SECTION 1.

The purpose of the DECENTRALIZED Chapters are to build a community of likeminded individuals that share a common passion in the space of digital currencies and blockchain technology. The dissemination of information and experience, the promotion of improved practices, the expectation that all member chapter officials will adhere to high professional and ethical standards; and the professional and social improvement of its members, as set forth in the “DECENTRALIZED CHAPTER RULES & REGULATIONS.”

SECTION 2.

The Chapter shall engage in a program of activities designed to further the purposes of DECENTRALIZED Chapters through the scheduling of regular meetings of its membership. Such programs and activities shall be consistent with the mission, vision and adopted goals of DECENTRALIZED Chapters. No activities should include the endorsement of items of a partisan, political, or business nature inconsistent with the mission, vision, and adopted goals of DECENTRALIZED Chapters.

Activities could include, but are not limited to;

  • Education/ Training
  • Peer support for UNIC programs
  • Speaker series
  • Support for Startups
  • Volunteer Activities

Meetings should be scheduled on a set time and day at least once a month. A general assembly of all DECENTRALIZED Chapter members should be held a minimum once a year.

SECTION 3.

Decentralized Chapters are not organized for profit, and earnings shall not directly benefit any Chapter member or Officer except as compensation for services rendered or for reimbursement of necessary expenses actually incurred.

ARTICLE II – SETTING UP A CHAPTER

SECTION 1.

Any member of the DECENTRALIZED global community in good standing may submit an online application to form a Chapter. https://decentralized.com/ (exact link will be added once it is corrected on the website)

Applications for DECENTRALIZED Chapter creations will only be considered from candidates that fulfill the minimum criteria as described below:

  • Online application

  • Letter stating the reasons for interest

  • Location of Chapter

Location must be an established entity which is safe and accessible e.g. university, company, community center, etc. Location proposals cannot include residences.

SECTION 2.

If the application is approved, the Chapter will be granted a status of “In Mempool”. During this time, applicants recruit members and draft set By-laws for the Chapter.

Upon receipt of the By-laws and a minimum of five DECENTRALIZED members, the DECENTRALIZED committee will review the application and determine if ‘Chapter’ status is to be granted.

If an application is rejected, applicants may appeal to the President of the DECENTRALIZED COMMITTEE by submitting a written request.

SECTION 3.

Chapters may be established on a non-exclusive basis to serve the needs of any specific, cohesive community of interest.

 

ARTICLE III – CHAPTER MEMBERSHIP

SECTION 1.

Members of DECENTRALIZED Chapters will automatically become members of the DECENTRALIZED global community and receive the same benefits as such;

  • Access to DECENTRALIZED job portal,

  • Priority access to discounts to the annual DECENTRALIZED conference,

  • Access to the annual DECENTRALIZED global members only meet up

  • Networking access to the global DECENTRALIZED community

SECTION 2.

To become a DECENTRALIZED Chapter member, you must find the DECENTRALIZED Chapter of your liking on the DECENTRALIZED portal and make a membership request.

DECENTRALIZED members can become members of more than one chapter.

SECTION 3.

DECENTRALIZED Chapter membership requests are subject to evaluation and approval by the Executive Committee.

 

ARTICLE IV – EXECUTIVE COMMITTEE

SECTION 1.

The governing body of the Chapter shall be the Executive Committee, consisting of:

  1. President

  2. Vice-President

  3. Treasurer

  4. Secretary

All positions serve for an annual term.

SECTION 2.

The Executive Committee must consist of members of the DECENTRALIZED Chapter.

SECTION 3.

In the event of a vacancy on the Executive Committee, the remaining members of the Executive Committee shall have the power to appoint a Chapter member to fill the unexpired term of office.

SECTION 4.

The Executive Committee shall manage all the affairs of the Chapter in accordance with DECENTRALIZED Chapter By-laws and the “DECENTRALIZED CHAPTER RULES & REGULATIONS.”

 

ARTICLE V – OFFICERS

SECTION 1.

The President will be the Chief Elected Officer of the Chapter. He/She is responsible for the vision of the DECENTRALIZED Chapter. He/she will provide the agenda and chair all Chapter and Executive Committee meetings. Additionally, he/she will issue the call for regular or special Executive Committee meetings.

SECTION 2.

The Vice President will primarily organize and execute the Executive Committees vision. Additionally the Vice President will act for the President in the President’s absence or when the President is unable to perform the duties of the office, as determined by the Executive Committee.

SECTION 3.

The Treasurer will have custody of the funds, securities, and other valuable effects in the name of and to the credit of the Chapter. The Treasurer shall prepare and submit to the DECENTRALIZED Committee such reports as may be required. At the expiration of the Treasurer’s term of office, the Treasurer shall turn over to his/her successor all books, papers, money, securities, and other valuable effects belonging to the Chapter, taking a receipt therefore from the successor.

SECTION 4.

The Secretary will keep all records, excluding financial, and the communication of the Chapter. The Secretary shall prepare a written record of the proceedings of the Executive Committee and any formal proceedings of the Chapter. The Secretary shall prepare and submit to DECENTRALIZED such reports as may be required. At the expiration of the term of office, the Secretary shall turn over to his/her successor, all books, records, papers, executed contracts, documents, or other property of the Chapter in his/her custody.

SECTION 5.

In case of the inability or neglect in performance of duty by any Officer or Director of the Chapter as determined by the Executive Committee, the Executive Committee shall have the power by a two-thirds vote of its members to declare the office vacant and shall fill the vacancy as provided in Article IV, Section 3.

 

ARTICLE VI – MEETING

SECTION 1.

The Annual Meeting of the Chapter, for the purpose of electing and/or installing the newly elected Executive Committee, shall be on the date and place of which shall be determined by the President of the Chapter at the creation of the DECENTRALIZED Chapter. Additional meetings and the Chapters General Assembly may be called by the President upon the President’s own volition, upon request by the Executive Committee, or upon the written request of 5 members in good standing of the Chapter. The members should be notified at least two weeks in advance of the date of all meetings.

SECTION 2.

An agenda should accompany the notice of the meeting from the President, and any changes to the agenda will be considered with the consent of the majority of the members in attendance.

 

ARTICLE VII – ELECTION OF EXECUTIVE COMMITTEE

SECTION 1.

Members interested to become part of the Executive Committee should submit an online application through their DECENTRALIZED membership profile. Nominations will be held 30-15 days prior to the election period.

Members can only serve in one Executive Committee but can be members to more than one DECENTRALIZED Chapter.

Elections will be held in a period of 3 days. The portal will be open for exactly 72 hours.

SECTION 2.

Results will be announced within a 24-hour period following elections, on the DECENTRALIZED Chapter landing page.

SECTION 3.

The Newly elected Executive Committee shall assume office at the beginning of the administrative year.

 

ARTICLE VIII – CODE OF ETHICS

SECTION 1.

DECENTRALIZED Chapters do not and shall not discriminate in any instance, including but not limited to race, age, sex, color, religion, gender, disability, marital status, nationality, military status, sexual identification or sexual orientation in any of its operations or activities.

SECTION 2.

DECENTRALIZED Chapters prohibit harassment of any kind, including but not limited to sexual, verbal or physical. For purposes of this policy, harassment is any conduct that threatens, intimidates or coerces another member.

SECTION 3.

DECENTRALIZED Chapters will avoid the intent and appearance of unethical or compromising practice in relationships, actions and communications.

SECTION 4.

DECENTRALIZED Chapters will not permit impropriety at any time and we will act ethically and responsibly in accordance with laws.

SECTION 3.

The Executive Committee and members should create and maintain the DECENTRALIZED culture on a consistent basis and should reinforce the notion of community, integrity and wisdom.

SECTION 4.

The Executive Committee will verify compliance to this policy through various methods, including but not limited to, business tool reports, internal audits, and feedback. The Executive Committee shall prepare and submit to the DECENTRALIZED Committee such reports as may be required.

SECTION 5.

Any DECENTRALIZED Chapter member found to have violated this policy and the DECENTRALIZED CHAPTER RULES & REGULATIONS may be subject to termination of membership.
